Abstract of Appointment of Henry Street and William Fitzthomas Wyley as Coventry Union Banking Company Trustees in place of Francis Wyley and Samuel Vale

I 13 Nov 1888. Deed of Appointment whereby, having recited: firstly the 6 May 1836 settlement whereby Richard Warner [ribbon-manufacturer], John Wyley senior [chemist], Thomas Robinson [of Nuneaton, maltster], Richard Hirons, James Mills Wolfenden, William Tyler and and other subscribers had agreed to form a public joint-stock banking company in Coventry - hence the parties covenanted to become partners in the Coventry Union Banking Co. with five directors (who might be increased to seven) (namely Richard Warner, John Wyley senior, Thomas Robinson, Richard Hirons and James Mills Wolfenden) who should appoint two or more trustees who would invest moneys and substitute a trustee within two months of a refusal, death, emigration, incapacity or resignation; secondly, that Samuel Vale (of Coventry, esq. [solicitor]), Henry Street (of Kenilworth, Warwickshire, esq. [fellmonger]), William Fitzthomas Wyley (of Coventry, esq., chemist]) and Oliver Minster (of Coventry, esq. [solicitor]) were then directors, Samuel Vale and the late Francis Wyley having been trustees; thirdly, that Francis Wyley died on 25 Oct 1888 and was buried at Coventry Cemetery on the 29th.; fourthly, that on 8 Nov 1888 S. Vale tendered his resignation; fifthly, that that same day the trustees named Henry Street and William Fitzthomas Wyley as new directors; sixthly, that the bank's property and money should vest in H. Street and William F. Wyley instead of in Vale; seventhly, that on 12 Nov 1888 Street and W.F. Wyley declared that all that was vested in them was so only qua Coventry Union Banking Co. trustees; and eighthly, that Vale was to assign his estate to Street and W. Wyley: therefore (on behalf of himself and the other outgoing, incoming and continuing directors) Vale assigned to Street and W. Wyley as trustees the bank's property and money.
II 12 Nov 1888. Deed Poll whereby, having recited: firstly, the 1836 settlement; secondly, that Samuel Vale, Henry Street, William Fitzthomas Wyley and Oliver Minster were directors, S. Vale and Francis Wyley having both been trustees until the latter's death; thirdly, F. Wyley's death and burial, Vale's retirement and H. Street's and William F. Wyley's appointment; fourthly, that various securities stood in Vale's and F. Wyley's names; fifthly, I; and sixthly, that the directors had asked Street and W.F. Wyley to declare trusts: therefore Street and W. Wyley stated that what had been vested in Vale on the company's behalf was now so in them.
III 27 Nov 1888. Samuel Vale died.
IV 2 Feb 1889. Deed Poll whereby, having recited: firstly, the 1888 appointment; secondly, Samuel Vale's death; thirdly, that on 31 Jan 1889 the surviving directors named Joseph Edge Banks and Robert Choules of Coventry, esqs.[; respectively tanner and winemerchant]) directors in place of S. Vale and Francis Wyley; and fourthly, that on 2 Feb 1889 the new trustees' appointment was confirmed: therefore Henry Street, William Fitzthomas Wyley and Oliver Minster assented to both the new trustees' appointment and the 13 Nov 1888 deed.
